Before accepting this agreement, you must carefully read the entire content of this agreement and fully understand the terms, especially the limitation or disclaimer clauses. Limitation or exemption of liability clauses will be highlighted in bold or other conspicuous forms to draw your attention. If you have any questions about the terms of this agreement, please contact the relevant business department of Shenzhen Chaowei Video Technology for inquiries. Unless you have read and accepted all terms of this agreement and related agreements and rules, you have no right to use this service. Once you choose "Agree to the Agreement and Submit" (specific wording subject to the registration page) and complete the registration process, or you use this service in any way, it is deemed that you have read and agreed to be bound by the aforementioned agreements and rules.
If you violate any provision of this agreement, Shenzhen Chaowei Video Technology has the right to unilaterally take measures such as restricting, suspending, or terminating the provision of services to you at any time based on the circumstances of your violation, and has the right to pursue your relevant responsibilities.
This Service Agreement (hereinafter referred to as "this Agreement") is jointly signed by you and Shenzhen Chaowei Video Technology Company. It includes but is not limited to: 《Shenzhen Chaowei Video Technology Privacy Policy》 and other content. If there are changes, Shenzhen Chaowei Video Technology will announce them by sending messages within the licensed software, without separate notice. The amended agreements and rules automatically become part of this agreement upon publication, without the need for further notice or your consent. If you do not agree with the relevant changes, please immediately stop using the services of Shenzhen Chaowei Video Technology; if you continue to use them, it is deemed that you have no objection to the modified rules and agree to comply.
I. Definition of Terms
1.1.Licensed Software: refers to the software system provided by Shenzhen Chaowei Video Technology, which you download and install and use on designated system mobile terminals.
1.2.Service: Refers to the services provided to you by Shenzhen Chaowei Video Technology and its suppliers. You can use the service on mobile terminals via the Licensed Software.
II. Service
2.1.Shenzhen Chaowei Video Technology and its suppliers provide you with smart life device management services. You can use Shenzhen Chaowei Video Technology to control smart terminals connected to the cloud platform of Shenzhen Chaowei Video Technology's suppliers, and achieve linkage between smart devices. Service content includes smart device management, scene linkage, analysis reports, etc. These functional services may be optimized or modified based on changes in your needs or the unilateral judgment of the service provider, and may also be temporarily suspended due to regular or irregular maintenance.
III. Scope of Service
3.1.Subject to this agreement, Shenzhen Chaowei Video Technology grants you a right to use the Licensed Software.
3.2.You shall not license, sell, lease, transfer, distribute, or otherwise commercially exploit the Licensed Software in any form.
3.3.Due to platform and terminal adaptation limitations of the Licensed Software, you may only use the Licensed Software on authorized system platforms and terminals. Installing the Licensed Software on other terminal devices may cause damage to your hardware or software functions.
3.4.You understand that the Licensed Software is only for non-commercial purposes and shall not be installed, used, or operated for commercial operation purposes.
3.5.Shenzhen Chaowei Video Technology and its suppliers may change, upgrade, or transfer the Licensed Software and its related functions from time to time, and may add new functions or services to the Licensed Software system. If such new functions or services do not have independent agreements, you may still obtain authorization for the corresponding functions and services, which shall be governed by this agreement.
3.6.You are responsible for the accuracy, reliability, completeness, and legality of the input data and the legality of the means by which you obtain the data, and you should regularly back up data and materials. You bear all risks of damage or loss of such materials.
3.7.You shall properly keep your account and password safe. If you discover any security risks related to your account (including but not limited to password leakage), you shall promptly notify Shenzhen Chaowei Video Technology, and Shenzhen Chaowei Video Technology will assist you in taking relevant measures. Otherwise, all actions under your account are your responsibility, and you shall bear all consequences.
IV. Third Parties
4.1.You acknowledge that part of the services of Shenzhen Chaowei Video Technology and its suppliers are based on software or services provided by third parties. These services are provided for your convenience and are duly authorized by such third parties.
4.2.This product contains some information and services from third parties. Shenzhen Chaowei Video Technology and its suppliers do not control the information and services of third parties.
4.3.You understand that Shenzhen Chaowei Video Technology and its suppliers cannot guarantee that the Licensed Software will permanently use or include such third-party services, nor can they guarantee whether they will continue to use other software or services from the same third party in the future. They may also use similar services from other third parties. Once the aforementioned software or services are enabled, this clause shall apply accordingly.
V. Service Usage Norms
5.1.You shall use the Licensed Software in a standardized manner. The following methods violate the usage norms: 1) Publishing or sharing software containing computer viruses, worms, malicious code, or intentionally damaging or altering computer systems or data; 2) Collecting information or data of other users without authorization, such as email addresses, etc.; 3) Maliciously using this product through automated means, placing excessive burden on the server, or otherwise interfering with or damaging the website server and network links; 4) Attempting to access the server data or communication data of this product without authorization; 5) Interfering with or disrupting the use of this product by other users.
5.2.You understand and agree: 1) Shenzhen Chaowei Video Technology will determine whether you are suspected of violating the above usage norms and, based on the determination result, suspend, terminate your license to use, or take other restrictive measures permissible under the agreement. 2) For information you publish using the Licensed Software that is suspected of being illegal, infringing upon the legal rights of others, or violating this agreement, Shenzhen Chaowei Video Technology will directly delete it. 3) If your violation of the above usage norms causes damage to any third party, you need to independently bear legal responsibility in your own name and ensure that Shenzhen Chaowei Video Technology is indemnified against any losses or increased expenses arising therefrom; otherwise, Shenzhen Chaowei Video Technology has the right to seek compensation from you. 4) If you violate relevant laws or the provisions of this agreement, causing any losses to Shenzhen Chaowei Video Technology and its suppliers, you shall compensate Shenzhen Chaowei Video Technology and its suppliers for the losses incurred and/or expenses occurred.
VI. Information Content Norms
6.1.You promise not to use the service for any illegal or improper activities, including but not limited to the following behaviors:
6.1.1.Uploading, transmitting, or sharing information containing any of the following content: 1) Opposing the basic principles established by the Constitution; 2) Endangering national security, leaking state secrets, subverting state power, or undermining national unity; 3) Damaging national honor and interests; 4) Inciting ethnic hatred, ethnic discrimination, or undermining ethnic unity; 5) Undermining national religious policies, promoting cults and feudal superstitions; 6) Spreading rumors, disrupting social order, or undermining social stability; 7) Spreading obscenity, pornography, gambling, violence, murder, terror, or inciting crime; 8) Insulting or defaming others, infringing upon the legal rights of others; 9) Containing false, fraudulent, harmful, coercive, infringing upon others' privacy, harassing, infringing, defamatory, vulgar, obscene, or otherwise morally objectionable content; 10) Containing other content restricted or prohibited by applicable laws, regulations, rules, ordinances, or any legally binding norms.
VII. Privacy Policy and Data
7.1.Protecting your personal information is very important to Shenzhen Chaowei Video Technology. Shenzhen Chaowei Video Technology has formulated the 《Shenzhen Chaowei Video Technology Privacy Policy》, which provides important disclosures regarding intellectual property ownership and protection, as well as the collection, use, sharing, storage, and protection of your information. It is recommended that you read the 《Shenzhen Chaowei Video Technology Privacy Policy》 in its entirety.
VIII. Disclaimer
8.1.Except as expressly provided by laws and regulations, Shenzhen Chaowei Video Technology will make the best efforts to ensure that the Licensed Software and the technologies and information security involved are safe, effective, accurate, and reliable. However, limited by existing technology, Shenzhen Chaowei Video Technology cannot guarantee this.
8.2.You understand that Shenzhen Chaowei Video Technology cannot be held responsible for direct or indirect losses caused by force majeure or third-party reasons.
8.3.You shall bear any personal injury or incidental, indirect damages arising from or in connection with any of the following situations: 1) Unauthorized use of the Licensed Software or alteration of your data by a third party; 2) Fees and losses incurred from using the Licensed Software; 3) Your misunderstanding of the Licensed Software; 4) Other losses related to the Licensed Software not caused by Shenzhen Chaowei Video Technology.
8.4.Any software derived from the Licensed Software that is not developed by Shenzhen Chaowei Video Technology or duly authorized by Shenzhen Chaowei Video Technology and officially released is illegal. Downloading, installing, or using such software may lead to unpredictable risks. The legal responsibilities and disputes arising therefrom are unrelated to Shenzhen Chaowei Video Technology, and Shenzhen Chaowei Video Technology has the right to suspend, terminate the use license, and/or other services.
8.5.You acknowledge that using the cloud platform of Shenzhen Chaowei Video Technology's suppliers involves Internet services and may be affected by unstable factors in various links. This service may be suspended, interrupted, delayed, restricted, or unavailable due to inherent defects of the Internet and electronic communications, as well as events beyond the reasonable control of any party to this agreement (including but not limited to fire, flood, terrorist attacks, plague, natural disasters, riots, terminal viruses, hacker attacks, network failures, terminal failures). You hereby specifically assume the above risks and agree that Shenzhen Chaowei Video Technology shall not be liable to you for any impact on the normal operation of the service due to the occurrence of such risk events.
IX. Agreement Termination and Liability for Breach
9.1.You understand that you must use the Licensed Software within the scope of authorization, respect the intellectual property rights of the Licensed Software and its content, use the Licensed Software in accordance with the norms, and fulfill your obligations under this agreement. If you seriously violate this agreement, Shenzhen Chaowei Video Technology will terminate your use license and hold you liable.
9.2.Your use of the Licensed Software relies on the supporting services provided to you by Shenzhen Chaowei Video Technology and its suppliers. If you violate the terms, agreements, rules, notices, and other relevant provisions with Shenzhen Chaowei Video Technology and its suppliers, it may lead to your inability to use the Licensed Software normally. Shenzhen Chaowei Video Technology has the right to terminate the use license or take restrictive measures against your use license and other Shenzhen Chaowei Video Technology-controlled rights and interests in accordance with the agreement, including suspending or terminating your use license.
9.3.Once you violate this agreement or other agreements signed with Shenzhen Chaowei Video Technology, Shenzhen Chaowei Video Technology and its suppliers have the right to take restrictive measures against your rights and interests, including suspending or terminating part or all of the services provided to you, and publicly announcing your breach of contract on the websites operated or actually controlled by Shenzhen Chaowei Video Technology and its suppliers in accordance with the law.
9.4.The Licensed Software is obtained by you from the download platform. You need to comply with the download platform, system platform, and terminal manufacturer's agreements and restrictions regarding your use of the Licensed Software. If the aforementioned third party confirms that you have violated such agreements and requires Shenzhen Chaowei Video Technology and its suppliers to take action, Shenzhen Chaowei Video Technology may terminate your use license at the request of the third party.
9.5.Upon termination of this use license, you shall stop using the Licensed Software and destroy all copies.
9.6.If you violate the terms of this agreement, causing losses to Shenzhen Chaowei Video Technology and its suppliers or other users, you must bear full compensation liability.
X. Governing Law and Severability
10.1.The validity, interpretation, modification, execution, and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China. If there are no relevant legal provisions, general international commercial practices and/or industry practices shall be referred to.
10.2.Disputes arising from or related to this agreement may be resolved amicably between you and Shenzhen Chaowei Video Technology, or submitted to the competent court in the place where this agreement is signed for adjudication.
10.3.If any term of this agreement is adjudicated as invalid by a competent court, it shall not affect the validity of the other terms or any part thereof, and you and Shenzhen Chaowei Video Technology shall still perform the agreement in good faith.
